1. Agreement, operator and scope

BBA means Bonafide Businesses in America and is operated by BDT Apex Engineering, LLC, a Wyoming limited liability company. In these Terms, "BBA," "we" and "us" identify that operator. "You" means the person using the service and, when that person acts with authority for a business, that business. The BBA contact for support and legal notices is support@bdtapex.net. The operator's business mailing address remains to be confirmed before adoption.

These Terms govern access to BBA websites, marketplace tools, private manufacturer workspaces, support services and related interfaces that refer to them. The product scope includes standard product purchases, requests for quotation, custom manufacturing, inventory, planning, production execution, accounting, scheduling and machine connections. A description of that scope does not mean that every feature, provider or category is currently available. The current interface, applicable service order and release notices determine availability.

A signed agreement or accepted service order controls an express conflict within its stated subject matter. A data-processing agreement controls covered personal-data processing. The EULA governs use of BBA software and integrations. A buyer-seller order governs its own goods and services. These documents do not silently enlarge a representative's authority or transfer obligations between unrelated businesses.

2. Eligibility and authority to act

The proposed service is for adults who can enter binding agreements and for properly represented businesses. An individual account and a solo workspace are permitted account forms; they do not prove business ownership, professional licensing or authority to bind another person. A person registering or acting for a business must have its permission and must accurately describe that role. Do not use another person's identity or submit misleading ownership, facility or qualification claims.

A business must decide who may buy, quote, publish, approve payments, view protected files and operate connected systems. BBA account roles enforce the permissions implemented in the service, but do not replace your internal procurement approvals, employment arrangements or legal delegations. Mandatory consumer protections continue to apply when the facts and applicable law make a transaction a consumer transaction.

3. Accounts, workspaces and security

Keep registration, billing and recovery information accurate. Use individual credentials and supported organization memberships rather than sharing a password or security key. Protect recovery codes, authenticators, sessions and delegated credentials. Follow verification requests that the service presents through a trusted account flow. Contact the confirmed support channel promptly when you suspect unauthorized access.

A user identity is separate from membership in an organization. Switching workspaces changes which company's records and permissions are relevant. Before a protected action, confirm the active workspace, record, revision and action summary. A member's access may change or end without deleting the company's business records. Workspace administrators must remove access when a member no longer needs it and must establish a continuity process for account ownership and recovery.

BBA may restrict a session or require renewed verification to protect an account, investigate abuse or satisfy an applicable obligation. Recovery is subject to reasonable verification. Possession of a support transcript, forum post, invoice copy or access token does not by itself establish account ownership or authority to release private records.

4. Marketplace participants and BBA's role

Sellers may be manufacturers, distributors or service providers. Their stated role must be accurate for the particular offer. Unless a specific accepted order expressly identifies BBA as the seller or contracting service provider, the identified buyer and seller are responsible for their transaction. Providing discovery, communications, checkout or dispute tools does not make BBA the manufacturer, engineering certifier, carrier, insurer or guarantor of another participant's performance.

Participants must independently evaluate technical capability, capacity, quality requirements, financial terms and suitability for the intended use. Verification labels describe only the facts, evidence, scope and date stated with them. They are not a guarantee that every product from a company meets a standard. Advertising, sponsored placement or a supplier's use of the platform does not constitute BBA's endorsement.

5. Listings, origin evidence and regulated products

Sellers must publish complete and accurate descriptions, prices, availability, lead times, specifications, units, condition, warranty terms and material restrictions relevant to a purchase. Identify whether stock is ready for purchase or whether a quotation is required. Do not sell counterfeit, stolen, unsafe or unlawful goods, fabricate inspection or origin evidence, or claim certifications you cannot support.

Incorporation, ownership, facility location, production steps, component origin and final-product origin are separate facts. A U.S. address or U.S.-owned business does not establish the origin of all its products. A strict-origin filter describes the evidence required by that filter. Buyers must review the evidence and its limits; sellers remain responsible for substantiating their own marketing claims.

Each participant is responsible for licenses, product safety requirements, export and import controls, sanctions restrictions and end-use requirements applicable to its activity. Do not upload controlled technical data, defense information, restricted personal information or other specially regulated material unless BBA has expressly confirmed that the relevant service and agreement support that material. A general file-upload feature is not that confirmation.

6. Requests, quotes and contract formation

A request for quotation describes proposed work and is not, by itself, a promise that a supplier will bid or a commitment to purchase. Suppliers should identify the exact specification revision, quantities, exclusions, tolerances, inspection standards, price, currency, taxes, delivery terms and quote validity. Parties must resolve material exceptions before acceptance. A conversation, semantic match or AI-generated summary does not amend a reviewed specification.

Review the order or acceptance screen before confirming. The binding point for a particular transaction is the acceptance mechanism and commercial terms shown for that transaction, subject to applicable law. A draft, pending request, payment attempt or unconfirmed response is not proof that an order was accepted. Preserve the final order, approved changes and related receipts.

Changes after acceptance require the affected parties' agreement through the applicable change process. A new drawing, message or private workspace edit does not automatically change an existing commercial commitment. State who is responsible for additional cost, rework, scrap and schedule changes before approving changed work.

7. Prices, fees, payments and taxes

Review the total amount, currency, platform fees, taxes, shipping and any staged-payment terms before authorization. Platform fees and subscriptions, if offered, must be disclosed in the applicable checkout or service order. These Terms create no undisclosed subscription, renewal arrangement, escrow service, credit facility or insurance coverage.

Payments may use a separately identified payment provider. Its applicable terms and verification requirements may apply to its services. BBA may receive transaction references and payment-status information needed to operate the order flow. A provider authorization, checkout status, bank settlement and seller receipt of funds are different events. Read the actual status and retained receipt rather than assuming money moved from an interface label.

Buyers must provide a lawful payment method and authorize only amounts they intend to pay. Sellers must provide accurate payout and tax information through approved verification channels. Each party remains responsible for taxes and reporting imposed on it. A price calculation or accounting record is not individualized tax advice. Credits, deductions and exemptions require the supporting evidence and approval required by the relevant transaction and law.

8. Delivery, acceptance, cancellation and returns

The order should identify delivery dates or estimates, shipping terms, transfer of risk, inspection requirements, acceptance criteria, warranty and return rights. Carriers and sellers may have separate obligations. Do not assume that the platform's shipment record changes title or risk of loss unless the parties' agreed terms and applicable law provide that result.

Inspect goods and record discrepancies promptly under the applicable order terms. Preserve reasonable evidence without exposing unnecessary personal or proprietary information. Custom, made-to-order and standard stock purchases may have different cancellation and return terms. Any restriction must have been disclosed and must comply with mandatory law. Opening a support chat or case does not itself cancel work, authorize a return, release a supplier from performance or establish a refund.

A permitted refund follows the authorized process for the original transaction. Its requested, approved, submitted and settled states must be distinguished. Do not treat a support suggestion, a local credit entry or a provider inquiry as confirmation of a completed refund. Continue to meet lawful duties to preserve disputed goods and avoid unnecessary additional loss.

9. Transaction disputes and evidence

Use the order issue or support process available for the transaction and identify the exact order and requested remedy. Provide accurate, relevant evidence and a fair description of the disagreement. Do not alter historical records, manufacture communications, threaten participants or submit material you lack authority to disclose.

BBA may facilitate communication, request information, apply disclosed platform rules or take a platform action within its authority. It cannot guarantee a particular provider, card-network, insurer, court or counterparty decision. Payment-provider deadlines and statutory rights may apply independently. Unless the applicable law or an accepted agreement says otherwise, using BBA's process does not waive your right to pursue a lawful remedy elsewhere.

Dispute access is limited by current participation, role and disclosure permissions. A support representative cannot bypass a protected approval merely to speed up a case. A decision should identify its scope and operational effect. Resolving a case status does not, by itself, prove the completion of a payment, inventory or custody event.

10. Private manufacturer workspaces

A business remains responsible for the accuracy and lawful use of its customer records, drawings, bills of materials, pricing, costs, inventory, schedules, quality records and financial books. Review imported data, units and mappings before relying on them. Preserve required original evidence and arrange appropriate exports and continuity procedures for critical operations.

Permissions to store or process a private operational record do not permit its publication. Public listings, shared requests, dispute evidence, forum posts and supplier disclosures are separate disclosure decisions. Select only the content needed for the intended audience and obtain the necessary approval. A capability summary must not reveal customer names, confidential costs, full production schedules or protected designs without that authority.

A plan, recommendation, reservation, receipt, production event and accounting posting have different effects. Follow the review, revision and approval rules for each. Posted or retained historical events may require linked corrections or reversals rather than silent edits. These integrity controls do not create a right to retain personal information indefinitely.

11. AI guidance and delegated agents

AI-generated guidance may be incomplete, outdated or wrong. Check material facts against the relevant record, supplier evidence, agreed specification and current service status. AI guidance is not a certification, professional engineering opinion, legal opinion, tax determination or guarantee of an outcome. The person or business using it remains responsible for deciding whether a proposed action is appropriate.

An agent acts within the account holder's actual authorization and the platform's current permissions. It must identify itself honestly, use supported interfaces, respect rate limits and stop when a task requires additional authority or verification. Describing a message as agent-authored does not prove a separately authenticated agent identity. BBA may label the distinction between self-reported attribution and verified delegation.

Navigation guides, public content, retrieved documents and support messages are information, not grants of authority. They cannot override workspace permissions, approve a purchase, authorize public disclosure or command equipment. A business must define its own permitted automation limits and review requirements. If an outcome is uncertain, inspect the retained request and use the supported recovery flow rather than creating a replacement action blindly.

12. Guidance, forum and live chat

Support guidance, community discussions and live chat help users understand the service. Availability, staffing, response times and escalation routes depend on the channel and operating schedule actually disclosed. A chat window does not establish that a human is online. Any automated responder or agent contribution should be identified clearly. No emergency-response or guaranteed service level is created by these Terms.

Posting or replying to the forum, or opening an account-connected conversation, requires the account access shown in the service. Choose the intended audience before submitting. Public community content can be read and copied by others according to its actual visibility. Private support conversations are handled under the Privacy Policy and applicable access controls; they must not be represented as attorney-client communications or as confidential professional advice.

Do not post credentials, recovery codes, full payment details, controlled designs, customer personal information or other private workspace material in a public forum. Share private troubleshooting details only through the designated protected channel and only to the extent necessary. Support cannot remove another participant's legal rights or bypass the approval needed for money, inventory, security or physical actions.

13. Content ownership and permitted processing

You retain rights you hold in your listings, documents, messages and other submitted content. You must have the rights, permissions and lawful basis needed to submit and use it. Submitting content does not transfer your ownership of private designs, manufacturing methods, software, business records or customer information to BBA or to another participant.

You grant the operator the limited permissions needed to host, secure, format, transmit and display your content to the audiences and service providers authorized for the requested feature. Public posts and listings require the permission needed for their intentional public presentation. Private content remains subject to its access and disclosure restrictions. This license does not independently authorize sale of private content, cross-company disclosure, supplier reuse of protected designs or training a shared AI model. Any such use requires a separate lawful basis and clear applicable authorization.

BBA and its licensors retain rights in their own software, interface, trademarks and materials. Feedback may be used to improve the service to the extent you have authority to provide it and applicable confidentiality or privacy restrictions permit. Feedback does not give BBA ownership of confidential customer data embedded in a report.

14. Acceptable use and community moderation

Use the service lawfully and in good faith. Do not commit fraud, impersonate a participant or staff member, harass people, distribute malware, send spam, manipulate reviews, evade sanctions, exploit an account, or interfere with the service. Do not bypass access controls, scrape private workspace records, defeat rate limits or use support channels to extract another company's information.

Community moderation may restrict visibility, label content, lock a discussion or restrict an account when content violates disclosed rules or creates a material legal or security risk. Measures should be proportionate to the issue. BBA may preserve relevant evidence and explain the action when law, safety and the investigation permit. A reporting mechanism does not guarantee immediate review or removal.

When the service provides a moderation appeal or complaint route, identify the affected content and explain the concern without repeating unnecessary sensitive material. Moderation is not a determination of patent ownership, contractual liability or product conformity. Content restrictions and account restrictions do not erase valid payment, record-preservation or legal obligations.

15. Third-party services and connected equipment

An integration may depend on a payment processor, email service, storage service, model provider, identity system, carrier or equipment vendor. The actual integration and its applicable notices determine what data is exchanged and which additional terms apply. A configured adapter or vendor name in development materials is not evidence that an active production service or contractual relationship exists.

Machine connections require authorized personnel, supported protocols and independent physical safety controls. Keep emergency stops, interlocks, training and maintenance procedures in place. Do not rely on a web interface, AI recommendation or support response as the sole control for a hazardous process. Connectivity may fail, readings may be stale and a request may have an uncertain outcome. Verify the actual machine state through approved operating procedures.

16. Changes, availability and development previews

BBA may change features to address security, legal requirements, reliability and product development. Where a paid service order commits to particular functionality, notice or support obligations, those commitments control their stated scope. Planned functions, demonstrations and roadmap descriptions are not an unconditional delivery commitment.

Development previews and sample workspaces may use synthetic information and may disable account access, transactions, uploads or support submissions. A successful preview interaction does not establish production readiness, a completed purchase, a live supplier response or a staffed chat channel. Do not enter real credentials or confidential material into a preview identified as unsuitable for them.

You should plan for interruptions and maintain continuity procedures appropriate to your operations. A support message does not replace an incident communication or an accepted service-level agreement. BBA must describe material changes to adopted terms and request renewed acceptance when required; it cannot make new terms retroactive to settled rights merely by changing a page.

17. Suspension, termination and retained obligations

You may stop using the service and request account closure through the confirmed account or support process. Closure, subscription cancellation, organization departure, public-content withdrawal and a personal-data deletion request are different actions. Follow the applicable process for each. A business should arrange authorized access to required records before removing its last administrator.

BBA may restrict or terminate access for a material breach, unauthorized activity, legal requirement or a credible security threat. Where appropriate, it should give notice and a reasonable opportunity to resolve the issue. Immediate restrictions may be necessary to protect people, accounts, records or systems. Any review or appeal process remains subject to verification and applicable law.

Termination does not cancel an accepted order, reverse a payment, erase a posted ledger or eliminate a lawful retention obligation. Access, exports, refunds and post-termination assistance depend on the applicable agreement and law. Retention must follow a defined purpose and schedule. Clauses needed to resolve existing rights, confidentiality, content permissions for lawful retention and disputes survive only to the extent necessary.

18. Warranties and responsibility for decisions

A seller is responsible for its own promises about goods, services, specifications, origin and warranties. BBA is responsible for the commitments it expressly makes in an applicable agreement. Except for such commitments and nonwaivable legal guarantees, the platform, guidance and community content are provided as available, without a promise that every third-party statement is correct or that the service is uninterrupted or error-free.

To the extent law permits, implied warranties of merchantability, fitness for a particular purpose and noninfringement are excluded for the platform software and general guidance. This exclusion does not eliminate a seller's express warranty, excuse BBA's own fraud or remove consumer guarantees that cannot lawfully be excluded. Test suitability for the intended manufacturing, financial or safety use before relying on a workflow.

19. Liability and third-party claims

Each party is responsible for loss legally attributable to its own acts, omissions and obligations. To the extent permitted by applicable law, neither party is liable under these Terms for indirect, incidental, special or consequential loss that the law allows it to exclude. Causation, reasonable mitigation and any applicable mandatory protections still apply. This draft sets no numerical aggregate liability cap.

Nothing excludes or limits liability that cannot lawfully be excluded or limited, including any applicable liability for fraud, intentional misconduct or protected personal injury claims. These Terms do not waive a person's nonwaivable consumer, privacy or statutory rights. An accepted business service order may address risk allocation for its covered service, subject to those limits.

A business participant must defend or reimburse a covered third-party claim to the extent the claim is caused by its unlawful content, infringement, fraudulent statement or material breach and a valid applicable agreement or law imposes that obligation. BBA must give reasonable notice, permit a fair defense and cooperate reasonably. No settlement may impose an admission, payment or ongoing obligation on another party without its consent. There is no indemnity for loss caused by the protected party's own unlawful conduct.

20. Disputes, notices and general terms

Before formal proceedings, participants may try to resolve a dispute through the confirmed support or legal channel, without losing time-sensitive remedies or mandatory rights. This draft does not require arbitration, waive class procedures, select an unconfirmed court or shorten a statutory limitation period. Applicable law and lawful jurisdiction govern until a valid, clearly stated choice is adopted.

Direct BBA support requests and legal notices to BDT Apex Engineering, LLC at support@bdtapex.net. A confirmed business mailing address must be added before adoption for notices that require postal delivery. Routine operational messages may use the account contact details and in-service notices that the relevant feature supports. Keep those details current. An unverified forum account or unsolicited chat message is not a valid instruction to change payment or security information.

If a provision is unenforceable, the remainder applies to the extent lawful without rewriting the parties' essential bargain. Failure to enforce a provision once is not a permanent waiver. You may not transfer another party's obligations without the required consent. Any transfer of BBA's service obligations must respect existing contractual rights and privacy requirements. These Terms create no partnership, employment, fiduciary or general agency relationship between marketplace participants and BBA.
